Welcome to NOYAIN (hereinafter referred to as “the Website”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, as well as any inquiries, requests for quotes, and subsequent purchases of cosmetic ingredients, OEM/ODM solutions, and related services (collectively, “Products”) from NOYAIN.
BY ACCESSING OUR WEBSITE, SUBMITTING AN INQUIRY, OR REQUESTING A QUOTE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT USE OUR WEBSITE OR SERVICES.
1. B2B ELIGIBILITY AND QUOTE REQUESTS (NO REGISTRATION REQUIRED)
- Business-to-Business (B2B) Only: This Website and our Products are intended solely for business-to-business transactions. By using our services or submitting an inquiry, you represent and warrant that you are acting on behalf of a commercial entity (e.g., a cosmetic manufacturer, raw material distributor, or brand owner) and not as an individual retail consumer.
- No Registration Required for Browsing: You are not required to create a user account to browse our product catalog or technical information.
- Information Collection for Quotes: To receive wholesale pricing, Technical Data Sheets (TDS), or formal commercial quotes, you must provide valid business contact information, including but not limited to your corporate email address, company name, contact person, and destination country/region.
- Data Accuracy & Use: You agree to provide accurate and current information. By submitting your email address and business details, you grant NOYAIN permission to contact you regarding your inquiry, send official quotes, and follow up on your business needs. Your data will be handled securely in accordance with standard corporate privacy practices.
2. PRODUCT INFORMATION, INQUIRIES, AND PRICING
- Product Specifications: We strive to ensure that all descriptions, TDS, Material Safety Data Sheets (MSDS), and Certificates of Analysis (COA) provided on the Website are accurate. However, slight variations in color, odor, or texture may occur between batches due to the nature of chemical and natural raw materials.
- Validity of Quotes: Prices and Lead Times displayed on the website (if any) are for reference only. A binding price is only established when NOYAIN issues a formal, written Proforma Invoice (PI) or Official Quotation via email. Unless otherwise stated in the document, our written quotes are typically valid for 14 calendar days from the date of issuance, due to the volatility of raw material markets.
- Minimum Order Quantity (MOQ): All Products are subject to specific MOQs, which will be specified in our response to your quote request.
- Order Confirmation: An inquiry or request for a quote does not obligate NOYAIN to supply the products. A binding contract is only formed when NOYAIN explicitly accepts your firm order via a signed PI and receives the required deposit.
3. PAYMENT TERMS
- Payment Methods: We accept Wire Transfer (T/T), Letter of Credit (L/C), or other payment methods specified in your Proforma Invoice.
- Deposit and Balance: Unless otherwise mutually agreed in writing, a standard 30% deposit is required to initiate production/packaging, with the remaining 70% balance paid in full prior to dispatch from our facility.
- Late Payments: Delayed payments will result in a corresponding delay in the production and shipment timeline. NOYAIN reserves the right to charge interest on overdue balances at a rate of 1.5% per month or the maximum rate permitted by law.
4. SHIPMENT, DELIVERY, AND RISK OF LOSS
- Incoterms: Unless expressly stated otherwise in writing, all international shipments are executed under EXW (Ex Works) or FOB (Free on Board) terms.
- Transfer of Risk: Risk of loss or damage to the Products passes to the Buyer as soon as the goods are handed over to the first carrier or shipping agent at the designated port/facility.
- Lead Times: Delivery and production lead times provided by NOYAIN are estimates only. While we make every effort to meet deadlines, NOYAIN shall not be liable for any losses, penalties, or damages resulting from shipping delays caused by customs clearance, port congestion, or freight carriers.
- Import and Customs Clearance: The Buyer is solely responsible for obtaining all necessary import licenses, paying customs duties, VAT, clearance fees, and complying with all local import regulations in the destination country (including Southeast Asia, the EU, or North America).
5. QUALITY CLAIMS, INSPECTIONS, AND RETURNS
- Inspection Period: The Buyer must inspect the outer packaging and quantities immediately upon arrival. Any obvious transit damage or quantity discrepancies must be reported within five (5) business days of delivery.
- Quality Discrepancies: For chemical purity, composition, or formulation defects, the Buyer must conduct testing and submit a formal written claim accompanied by independent lab test reports within fifteen (15) calendar days from the date of arrival at the destination port. Failure to notify us within this period constitutes absolute and unconditional acceptance of the Products.
- Return Policy: Given the industrial and customized nature of cosmetic ingredients and OEM/ODM products, we do not accept returns or exchanges for non-defective goods. If a product is proven to be defective by mutual agreement, NOYAIN’s sole liability shall be to replace the defective product or issue a credit/refund for the value of the defective portion.
6. REGULATORY COMPLIANCE AND LOCAL LAWS
- Supplier Warranty: NOYAIN warrants that all ingredients and formulations manufactured by us comply with the relevant quality standards and chemical regulations of our manufacturing jurisdiction.
- Buyer Responsibility: Cosmetic regulations vary significantly across the globe (e.g., ASEAN Cosmetic Directive in Southeast Asia, EC No 1223/2009 in the European Union, and MoCRA/FDA in the United States). The Buyer (manufacturer/distributor) bears the ultimate responsibility to ensure that the ingredients or finished products purchased from NOYAIN comply with the specific safety, labeling, and registration laws of their target consumer markets. NOYAIN provides documentation (COA, MSDS) to assist, but does not guarantee automatic compliance in every jurisdiction.
7. INTELLECTUAL PROPERTY (IP)
- NOYAIN IP: All content on this website, including but not limited to texts, logos, graphics, proprietary ingredient names, and software, is the exclusive intellectual property of NOYAIN and is protected by international copyright and trademark laws.
- OEM/ODM Customization:
- Where the Buyer provides trademarks, labels, packaging designs, or specific formulas for contract manufacturing, the Buyer warrants that such materials do not infringe upon any third-party intellectual property rights. The Buyer agrees to indemnify NOYAIN against any lawsuits or claims resulting from such infringement.
- Any proprietary bases, compounding methods, or base formulas developed independently by NOYAIN remain the intellectual property of NOYAIN.
8. LIMITATION OF LIABILITY
- To the maximum extent permitted by applicable law, NOYAIN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, business interruption, or product recall costs incurred by the Buyer or any third party.
- NOYAIN’s total cumulative liability for any claim arising out of or related to the supply of Products shall not exceed the total price actually paid by the Buyer for the specific batch of Products giving rise to the claim.
9. GOVERNING LAW AND DISPUTE RESOLUTION
- Governing Law: These Terms and any separate commercial agreements shall be governed by, and construed in accordance with, the laws of the jurisdiction where NOYAIN’s corporate headquarters is registered, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded.
- Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms shall first be submitted to friendly negotiation between the parties. If an agreement cannot be reached within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts or arbitration commission in the city where NOYAIN is headquartered.
